Terms of Service

These terms form an agreement between ("CtrlFirm", "we") and the firm that registers an account ("you"). By registering or using the service you accept these terms on behalf of your firm.
1. The service
CtrlFirm is cloud software for managing a CA or CS practice: clients, compliance tasks, documents, billing and WhatsApp communication. CtrlFirm is not affiliated with ICAI, ICSI or any government authority. The software does not give professional, legal or tax advice. You remain responsible for your filings, deadlines and advice to your clients.
2. Accounts
- You must give accurate registration details and keep login credentials confidential.
- The account owner controls staff access and permissions, and is responsible for activity under the firm's account.
- Tell us at once at if you suspect unauthorised access.
3. Your data and your clients' data
You own the data you put into the service. You confirm that you have the right to store and process your clients' data, and that you have given them any notice or obtained any consent the law requires. We process that data only to provide the service, as described in our Privacy Policy.
4. WhatsApp messaging
- You must follow Meta's WhatsApp Business policies, and message only clients who have agreed to be contacted.
- Messages use prepaid WhatsApp credits. Meta may reject, delay or rate-limit messages, and we are not liable for delivery failures caused by Meta or the recipient.
- We may pause messaging for an account that breaches Meta's policies or sends spam.
5. Fees and payment
- Subscription fees and credit prices are as shown on our website or in the app at the time of purchase, plus applicable GST.
- Payments are processed by Razorpay. We issue a GST invoice for every payment.
- We may change prices with at least 30 days' notice. Changes apply from your next renewal.
- Refunds are governed by our Refund & Cancellation Policy.
6. Acceptable use
You must not:
- use the service for anything unlawful, fraudulent or in breach of anyone's rights;
- try to access other firms' data, test or bypass security, or disrupt the service;
- send spam or unsolicited bulk messages;
- resell or sublicense the service, or create accounts by automated means.
7. Availability and support
We aim to keep the service available and to fix faults promptly, but we do not guarantee uninterrupted or error-free operation. We may carry out maintenance, which we will try to schedule outside business hours.
8. Suspension and termination
- You may stop using the service and ask for your account to be closed at any time.
- We may suspend or close an account that breaches these terms or fails to pay, after notice where reasonable.
- After closure you may request an export of your data within 30 days. After that, data is deleted as described in the Privacy Policy.
9. Liability
To the extent the law allows, CtrlFirm is not liable for indirect or consequential losses, including lost profits, penalties or interest for missed filings, or lost data you did not keep a copy of. Our total liability for any claim is limited to the fees you paid us in the 12 months before the claim.
10. Indemnity
You will indemnify CtrlFirm against claims arising from your breach of these terms, from your use of your clients' data, or from messages you send through the service.
11. Changes to these terms
We may update these terms. We will give account owners at least 15 days' notice of material changes. Continuing to use the service after that means you accept the updated terms.
12. Governing law
These terms are governed by the laws of India. The courts at have exclusive jurisdiction.
